These Terms of Service (“Terms”) govern your use of smartfedsupply.com (the “Site”) and your communications and dealings with Smart Fed Supply LLC, a Texas limited liability company (Texas Secretary of State file no. 806789510) (“Smart Fed Supply”, “we”, “us”).

By using the Site, contacting us, or placing an order, you agree to these Terms. If you do not agree, do not use the Site.

1. Who we are and what we do

Smart Fed Supply LLC supplies goods and services to federal, state, local, and institutional buyers. Nothing on the Site is an offer to sell to any person or entity where such an offer would be unlawful.

2. Use of the Site

You may use the Site for lawful business purposes only. You agree not to:

• interfere with or disrupt the Site or its security;
• attempt to gain unauthorised access to any part of the Site or our systems;
• scrape, harvest, or collect information about other users; or
• use the Site to transmit unlawful, infringing, or malicious content.

The Site, including its text, graphics, logos, and imagery, belongs to or is licensed to Smart Fed Supply LLC and is protected by intellectual property law. You may not reproduce it except as reasonably necessary to evaluate us as a supplier.

3. Quotes, orders, and pricing

• Information on the Site is general and is not a binding offer, quote, or price list.
• Quotes are valid only for the period stated on the quote and are subject to product availability, manufacturer authorisation, and confirmation of cost at the time of order.
• A binding contract is formed only when we accept a purchase order or other written order in writing.
• Where an order is placed under a government solicitation, contract, or purchase order, the terms of that instrument control to the extent they conflict with these Terms.
• We reserve the right to decline or cancel any order, including where an error in pricing or availability is discovered.

4. Text messaging (SMS and MMS) terms

4.1 How you opt in

You may opt in by texting our business line first, or by giving verbal consent on a call with us, which we record in our customer relationship management system.

4.2 Supported carriers and delivery

Carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission from your wireless service provider and is not guaranteed.

4.3 Your number

We do not sell, rent, or share your mobile number or SMS consent with any third party for that party's own marketing or promotional purposes. See our Privacy Policy.

4.4 Changing your number

You agree to notify us if you relinquish or change the mobile number you gave us, so that we do not message a subsequent holder of that number.

5. Privacy

Our Privacy Policy describes how we handle information and is incorporated into these Terms.

6. Third-party links

The Site may link to third-party sites, including government procurement portals. We do not control and are not responsible for their content, and a link is not an endorsement.

7. Disclaimers

The Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted or error-free. Product warranties, where any apply, are those provided by the manufacturer or stated in the applicable quote, contract, or purchase order.

8. Limitation of liability

To the fullest extent permitted by law, Smart Fed Supply LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business interruption, arising out of or relating to the Site or these Terms, whether in contract, tort, or otherwise, even if advised of the possibility. Our total aggregate liability arising out of or relating to the Site or these Terms will not exceed the greater of the amount you paid us for the specific order giving rise to the claim, or one hundred US dollars (US$100). Nothing in these Terms limits liability that cannot be limited under applicable law.

9. Indemnity

You agree to indemnify and hold harmless Smart Fed Supply LLC and its members, officers, and employees from claims arising out of your misuse of the Site or your breach of these Terms.

10. Governing law and venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Travis County, Texas, and you consent to their jurisdiction. Where an order is placed by a United States government entity, applicable federal law and the terms of the governing contract control.

11. Changes to these Terms

We may update these Terms. We will change the “Last updated” date above. Continued use of the Site after a change constitutes acceptance.
